Terms and Conditions (Conditions Générales de Vente)

1. Scope and Application

These Terms and Conditions apply to all language, translation, and editorial services provided by Freya Cosgrove (Sole Proprietor / Entrepreneur Individuel, SIREN: 841 309 487) to any client.

Placing an order, signing a quote, or confirming a project via email implies complete acceptance of these Terms and Conditions. Any variation or modification to these terms must be agreed in writing by Freya Cosgrove.

2. Quotations and Orders

  1. Quotes: All project enquiries are subject to a written quote provided by Freya Cosgrove. Quotes detail the scope of work, deadline, pricing, and specific project requirements. Quotations remain valid for 30 calendar days from the date of issue unless stated otherwise.

  2. Order Confirmation: An order is deemed confirmed and binding only once the client accepts the quote in writing (by email or electronic signature) and provides any required deposit or source materials.

  3. Modifications: Any request by the client to alter or expand the project scope after order confirmation may result in an adjustment to the price and deadline.

3. Rates and Payment Terms

  1. Pricing: Prices are set out in individual quotations and quoted in Euros (€).

  2. VAT Exemption: Services are exempt from VAT pursuant to Article 293 B of the French General Tax Code (TVA non applicable, art. 293 B du CGI).

  3. Deposits: For new clients, large projects, or at Freya Cosgrove’s discretion, a deposit (typically 30% to 50%) may be required before work commences.

  4. Payment Period: Invoices are payable within 30 days of the invoice date, unless special written payment terms have been agreed upon.

  5. Late Payment Penalties: In accordance with Article L.441-10 of the French Commercial Code, late payments will automatically incur:

    • Late interest calculated at the European Central Bank’s refinancing rate plus 10 percentage points, applied to the total outstanding balance from the due date until full payment is received.

    • A fixed statutory debt recovery allowance of €40.

4. Delivery and Deadlines

  1. Deadlines: Agreed completion dates are specified in the quote. Freya Cosgrove will make every reasonable effort to meet agreed deadlines.

  2. Client Obligations: Deadlines are conditional upon the timely receipt of all required source materials, instructions, background documentation, and prompt responses to clarifications. Delays caused by the client will extend the delivery timeline accordingly.

  3. Delivery Method: Completed work will be delivered electronically (via email, secure download link, or through Squarespace platform integrations) unless otherwise specified.

5. Intellectual Property and Copyright

  1. Source Content: The client guarantees that they hold the necessary rights or authorisations for all source material provided to Freya Cosgrove. The client agrees to hold Freya Cosgrove harmless against any third-party claims of intellectual property infringement relating to source documents.

  2. Final Deliverables: Copyright and ownership rights in the completed translation or editorial work transfer to the client only upon full payment of all invoices related to the project. Until payment is received in full, Freya Cosgrove remains the sole owner of the intellectual property.

6. Confidentiality

  1. Both parties agree to keep all project information, source documents, correspondence, and personal data strictly confidential.

  2. Freya Cosgrove will not disclose or share any confidential information with third parties without the client's express written consent, except where required by law.

7. Revisions, Claims, and Cancellation

  1. Client Review & Claims: The client must review delivered work upon receipt. Any claims regarding quality, error, or non-conformity must be submitted in writing within 10 business days of delivery, detailing specific queries or requested adjustments.

  2. Corrections: If a claim is justified, Freya Cosgrove will make the necessary corrections at no additional charge within an agreed timeframe.

  3. Cancellation by Client: In the event of order cancellation by the client after work has commenced:

    • The client must pay for all work completed up to the date of written notice of cancellation.

    • Any non-refundable deposit paid will be retained by Freya Cosgrove.

8. Limitation of Liability

  1. Freya Cosgrove’s overall liability for any direct loss or damage arising out of or in connection with the services provided shall not exceed the total amount invoiced and paid for the specific project concerned.

  2. Under no circumstances shall Freya Cosgrove be liable for indirect, consequential, or incidental losses (including loss of profit, loss of business, or reputational damage).

9. Force Majeure

Neither party shall be held liable for failure or delay in performing contractual obligations if caused by events beyond reasonable control (Force Majeure under French law), including severe illness, power or network outages, natural disasters, or acts of government.

10. Applicable Law and Jurisdiction

These Terms and Conditions are governed by and construed in accordance with French law.

In the event of a dispute, both parties agree to seek an amicable resolution in good faith prior to initiating legal proceedings. Failing an amicable settlement, exclusive jurisdiction is attributed to the competent courts of Douai / Lille, France.
